Affiliate Program Terms

These terms govern your participation in the VeraChain Labs LLC (“VCL”) affiliate program. By submitting an affiliate application you agree to be bound by these terms.

1. Eligibility

You must be 18 years of age or older. You must have a legitimate audience or platform (website, newsletter, podcast, social media account, professional network) on which you will promote VCL. You must not be a current competitor of VCL or affiliated with one. You must be eligible to receive payment in the United States or accept cryptocurrency payouts.

2. Application and approval

Affiliate participation is by application only. VCL reviews every application manually. Approval is at VCL’s sole discretion. Approval is typically issued within 5 business days. Declined applications may reapply if circumstances change meaningfully.

3. Commission structure

Approved affiliates receive a commission equal to 15% of the order subtotal for any order placed using their assigned discount code. Subtotal means the product total before tax, shipping, and any other fees, calculated on the actual amount charged after the affiliate code discount is applied.

The customer using the affiliate code receives a 10% discount on the order subtotal at checkout.

4. Affiliate code

On approval, VCL issues each affiliate a unique discount code. The code is the sole mechanism by which sales are attributed to the affiliate. Attribution is based on code usage at checkout. There is no cookie-based or click-based tracking in the current version of the program.

Affiliate codes are non-transferable. Sharing your code with parties not authorized to promote it is grounds for termination.

5. Payouts

Payouts are issued on a monthly basis, on or before the last business day of the following month (Net 30 from the close of each calendar month). Minimum payout balance is $50 USD equivalent. Balances below the minimum carry forward to the next cycle.

Payout methods supported in v1:

• Cryptocurrency via NOWPayments (USDT, Bitcoin, Litecoin, and others on request)
• Bank wire via Mercury Bank
• ACH transfer (US-based affiliates only)

Payout method is selected during application and may be changed by emailing [email protected].

Affiliates are responsible for their own tax obligations. VCL will issue 1099 forms to US-based affiliates earning over the IRS threshold per calendar year. Non-US affiliates are responsible for compliance in their own jurisdictions.

6. Refunds and clawbacks

If a customer order is refunded, the associated commission is reversed from the affiliate’s balance. If the refund occurs after a payout has been issued, the clawback is applied to the next payout cycle. Persistent high refund rates on an affiliate’s attributed orders may trigger a review of the affiliate’s promotion practices.

7. Promotion requirements

Affiliates must:

• Disclose their affiliate relationship with VCL on any post, email, or content that promotes the company. This is required by the FTC and similar bodies in other jurisdictions. A simple statement like “I receive a commission on purchases made through this code” is sufficient.
• Comply with all applicable laws in their jurisdiction.
• Comply with the terms of service of any platform on which they promote.
• Use accurate information about VCL products. Pull from the verachainlabs.com product pages, the manifesto, and the /coa-status page rather than inventing claims.
• Respect the research-use-only positioning of the products in all messaging.

8. Prohibited promotion

Affiliates may not:

• Make therapeutic, medical, or health claims about any VCL product. This includes “treats,” “cures,” “heals,” “prevents,” “reduces,” “boosts,” dosing recommendations for humans, or any implied medical efficacy.
• Imply that VCL products are intended for human consumption or human medical use.
• Misrepresent the relationship between VCL and Bioviridian Inc. or any other lab or vendor.
• Misrepresent the verification process or the contents of any COA.
• Run paid advertising on Google Ads, Meta Ads, X Ads, Microsoft Ads, or any similar platform that bids on the terms “VeraChain Labs,” “VCL,” “verachainlabs,” or close variants as keywords.
• Run paid advertising that bids on the trademarks of competing peptide vendors with intent to redirect their traffic to VCL.
• Use bots, automated tools, click farms, or fake engagement to drive traffic.
• Target audiences known to be primarily under 18.
• Promote on platforms or in forums known primarily for illegal activity.
• Misrepresent themselves as VCL employees, officers, agents, or partners.
• Use VCL logos or wordmarks in modified, recolored, distorted, or composited form without written approval.
• Register domains, social handles, or trademarks incorporating “VeraChain Labs,” “VCL,” “verachainlabs,” or close variants.
• Email-spam or otherwise distribute promotional material in violation of CAN-SPAM, GDPR, CASL, or other applicable laws.

9. Intellectual property

VCL retains all rights to its trademarks, logos, copy, manifesto, verification thesis content, product photography, and COA-related media. Affiliates receive a limited, revocable, non-exclusive license to use approved VCL brand assets solely for promoting VCL through their approved channel. The license terminates immediately on affiliate termination.

10. Confidentiality

Information shared with affiliates that is not publicly available on verachainlabs.com (internal sales data, pricing strategy, vendor relationships, lab pricing, unreleased products, internal roadmap) is confidential and may not be disclosed without written permission.

11. Termination

Either party may terminate this agreement at any time, for any reason, with written notice. VCL may terminate immediately and without notice in the event of a material breach, including any conduct prohibited under section 8.

On termination:

• The affiliate code is deactivated.
• Any commission balance earned through compliant promotion before termination is paid out on the next regular payout cycle.
• Commission balances earned through conduct in breach of these terms are forfeited.
• All access to the affiliate dashboard and gated marketing assets is revoked.
• The brand-asset license granted in section 9 ends immediately.

12. No employment relationship

The affiliate relationship does not constitute employment, partnership, joint venture, or agency between affiliate and VCL. Affiliates act as independent contractors and have no authority to bind VCL to any agreement, representation, or warranty.

13. No earnings warranty

VCL provides the affiliate program “as is.” VCL does not warrant any specific level of earnings, conversion rate, click-through rate, or audience response to affiliate promotional efforts.

14. Limitation of liability

VCL’s total liability to any affiliate under this agreement is limited to the unpaid commission balance accrued at the time of any claim. VCL is not liable for indirect, incidental, consequential, special, or punitive damages of any kind.

15. Modifications

VCL reserves the right to modify these terms at any time. Material changes will be communicated to active affiliates by email at least 14 days before they take effect. Continued participation after the effective date of any change constitutes acceptance of the revised terms.

16. Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any disputes arising from or related to this agreement shall be resolved in the state or federal courts located in Wyoming.
